Terms& Conditions

Agreement Required?

By engaging with Adpro Studios, Client acknowledges that they have read and understood this Agreement and agree to be bound by its terms and conditions.

Scope of Work:
Agency will provide marketing and IT services as outlined in the proposal provided to Client, which may include but not limited to website development, social media marketing, search engine optimization, email marketing, and digital advertising. Any additional services required will be agreed upon in writing by both parties.

Payment:
Client agrees to pay Agency the fees outlined in the proposal in accordance with the payment schedule outlined therein. All fees are non-refundable once services have been initiated. Any additional costs incurred during the project will be discussed with the Client and approved in writing before proceeding.

Intellectual Property:
Agency retains ownership of all intellectual property created during the course of the project, including but not limited to design elements, copywriting, and software development. Upon receipt of full payment, Client will have a non-exclusive license to use the intellectual property for the purposes outlined in this Agreement.

Confidentiality:
Both parties agree to maintain the confidentiality of all proprietary and confidential information exchanged during the course of the project.

Termination:
Either party may terminate this Agreement upon written notice if the other party is in breach of any of its obligations under this Agreement. Upon termination, Client will pay Agency for all work completed up to the date of termination.

Governing Law:
This Agreement will be governed by and construed in accordance with the laws of the jurisdiction in which Agency is registered.

Entire Agreement:
This Agreement represents the entire understanding between the parties and supersedes all prior negotiations and understandings. This Agreement may not be modified except in writing signed by both parties.
